Altura OS Terms of Use and End-User License Agreement

Altura OS is used to support Altura's construction, real estate development, project management, estimating, procurement, financial coordination, accounting reconciliation, personnel, document management, communications, and other internal business operations.

Altura OS may integrate with third-party services, including QuickBooks Online.

Altura OS is intended for authorized users approved by Altura.

Access may be limited according to an individual's role, assigned projects, permissions, financial authority, and other access-control policies.

Users may not attempt to access projects, financial records, documents, communications, credentials, or other information outside the scope authorized by Altura.

Subject to these Terms, Altura grants authorized users a limited, revocable, non-exclusive, non-transferable right to access and use Altura OS solely for authorized Altura business purposes.

No ownership interest in Altura OS, its software, systems, processes, data models, workflows, documentation, or intellectual property is transferred to any user.

Users are responsible for maintaining the confidentiality and security of their authentication credentials.

Users may not share credentials, circumvent access controls, impersonate another user, attempt unauthorized access, or interfere with the security or operation of Altura OS.

Suspected unauthorized access or credential compromise should be reported promptly.

Altura OS may connect to QuickBooks Online after an authorized user grants access through Intuit's authorization process.

QuickBooks Online remains an independent third-party service.

When QuickBooks is treated as the authoritative source for accounting information, changes to accounting transactions should generally be made through QuickBooks or through an expressly authorized integration workflow.

Altura OS may synchronize, normalize, classify, reconcile, and display authorized QuickBooks data for internal business purposes.

Altura OS does not guarantee that every QuickBooks transaction can be automatically associated with the correct Altura project, vendor, commercial scope, purchase order, subcontract, or other internal record.

Unresolved information may require human review.

Altura OS may display budgets, commitments, actual costs, billing information, payment information, forecasts, margins, and other financial information.

Users acknowledge that the reliability of financial information may depend on the completeness, timeliness, and accuracy of information received from Altura's accounting, project-management, and other source systems.

When information is incomplete, stale, unmapped, or otherwise insufficient, Altura OS may withhold a calculation or indicate that the information is unavailable or requires review.

Users remain responsible for appropriate professional and managerial review before making material financial, contractual, tax, accounting, or investment decisions.

Altura OS may include AI-assisted functionality.

AI functionality may assist with summarization, analysis, drafting, classification, extraction, recommendations, or identification of potential exceptions.

AI-generated output may contain errors or require interpretation.

Unless explicitly authorized by Altura through a controlled workflow, AI output is not itself an executed contract, approved purchase order, authorized payment, accounting entry, final project decision, or other binding business action.

Users remain responsible for reviewing AI-assisted output before relying on it for consequential business actions.

Users may not use Altura OS to:

• access information they are not authorized to view;
• circumvent authentication or authorization controls;
• introduce malicious code;
• intentionally disrupt the service;
• improperly extract, disclose, or distribute confidential information;
• misuse third-party integrations;
• violate applicable law or contractual obligations;
• use Altura OS for purposes unrelated to authorized Altura business operations.

Business records entered into, synchronized with, or generated through Altura OS may be retained as part of Altura's operational records.

Certain records may originate from authoritative third-party systems.

Altura OS may maintain synchronized copies, references, audit records, or derived operational information without replacing the authoritative source.

Altura OS and its associated software, workflows, designs, documentation, processes, and other intellectual property are owned by Altura or its licensors.

Third-party software, APIs, and services remain subject to the rights and terms of their respective owners.

Altura OS may depend on services provided by third parties, including hosting, databases, authentication providers, communications providers, artificial-intelligence providers, and accounting platforms such as Intuit QuickBooks Online.

Altura is not responsible for the availability or operation of third-party services outside Altura's control.

Altura may modify, suspend, restrict, or discontinue all or part of Altura OS at any time.

Features, integrations, workflows, access rights, and functionality may change as Altura's business and operating procedures evolve.

Altura OS is provided for internal business use.

Although Altura seeks to maintain accurate and reliable information, the system may contain incomplete, delayed, inaccurate, or unavailable information due to source-system limitations, data-entry errors, synchronization delays, software defects, or other causes.

Users should verify material information using authoritative records where appropriate.

To the maximum extent permitted by applicable law, Altura and its officers, employees, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use Altura OS.

Nothing in these Terms limits liability that cannot legally be limited.

Altura may suspend or terminate a user's access at any time, including when employment, engagement, project assignment, or authorization ends, or when the user violates these Terms or Altura policy.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Altura may revise these Terms from time to time.

Continued use of Altura OS after revised Terms become effective constitutes acceptance where permitted by applicable law.
